Pharmaceutical Logistics Operator Santens Group Transfers to Russian Jurisdiction

Oleg Moiseenkov, President and Founder of Santens Group, has completed the consolidation of a 100% stake in the business. As part of the restructuring, the transfer of ownership of the logistics operator’s assets to the Russian jurisdiction is being finalized.

Transaction Details and De-offshorization

The buyout of the minority stake, previously owned by the UFG investment fund, by Oleg Moiseenkov’s structures was completed in 2025. Sberbank PJSC acted as the financial partner of the consolidation (in 2025, the corresponding bank pledges in the Unified State Register of Legal Entities were removed). The transaction value is not disclosed due to a signed confidentiality agreement.

Currently, the process has moved to the stage of making entries in the Unified State Register of Legal Entities (USRLE), which secures direct ownership of Santens Group assets (including Danom LLC) directly to Oleg Moiseenkov. The Netherlands-based company Gracilis, of which he was also the 100% ultimate beneficiary, is excluded from the ownership structure. Thus, the Group’s capital is fully transferred to the jurisdiction of the Russian Federation.

Separate approvals from the sub-commission of the Government Commission on Monitoring Foreign Investment in the Russian Federation were not required, as all participants in the process (shareholders and the bank) are residents of the Russian Federation or representatives of friendly jurisdictions.

Ownership Structure History

Oleg Moiseenkov founded Santens Group in 2000. Since the business was established, he has remained the controlling shareholder, exercising strategic and operational management of the Group.

In 2014, a minority stake was sold to the UFG investment fund, owned by Arab pension funds. In 2021, UFG completed its investment cycle as planned and proceeded to sell its assets. The buyer of the minority stake was the founder of the Group, who structured the transaction to regain 100% control.

Santens Group Market Position

Santens Group is an information and logistics operator in the pharmaceutical market, included in the list of backbone enterprises of Russia. The company provides customs clearance and logistics for over 40% of the total import of medicines to the Russian Federation.

The Group’s infrastructure includes 6 warehouse complexes with a total capacity of over 170,000 pallet positions, operating in accordance with Good Distribution Practice (GDP) standards. The annual volume of processed pharmaceutical products exceeds 260 billion rubles.

The operator’s client portfolio includes more than 200 manufacturers of pharmaceutical products and medical devices, as well as distributors and pharmacy chains. To manage supply chains, the company uses its own IT solutions (in particular, the CTT software suite is included in the register of domestic software).
